Welcome to VerifyWith.ai ("Company," "we," "our," or "us"). By accessing or using our website, software, APIs, services, and related platforms (collectively, the "Services"), you agree to be bound by these Terms and Conditions.
If you do not agree with these Terms, do not use the Services.
2. Description of Services
VerifyWith.ai provides insurance eligibility verification, coverage validation, patient intake support, payment estimation, administrative automation, and related healthcare workflow services.
We may modify, suspend, or discontinue any portion of the Services at any time.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. User Responsibilities
You agree to:
- Provide accurate information.
- Maintain the confidentiality of account credentials.
- Use the Services only for lawful purposes.
- Comply with all applicable healthcare, privacy, and insurance regulations.
You shall not:
- Attempt unauthorized access to systems or data.
- Upload malicious code.
- Reverse engineer or copy the Services.
- Use the Services in violation of any law.
5. Healthcare Information
VerifyWith.ai is not a healthcare provider, insurance carrier, or medical advisor.
Insurance verification results are based on information provided by insurers and third parties. Coverage information may change after verification.
Users remain responsible for confirming coverage, benefits, claims, billing, and payment obligations.
6. Fees and Payments
Fees for Services shall be governed by any applicable subscription agreement, order form, or service agreement.
All fees are non-refundable unless otherwise agreed in writing.
7. Intellectual Property
All software, trademarks, logos, content, designs, and technology associated with the Services are owned by VerifyWith.ai or its licensors.
No rights are granted except as expressly stated herein.
8. Data Security
We implement commercially reasonable administrative, technical, and physical safeguards to protect information processed through the Services.
However, no method of transmission or storage can be guaranteed to be completely secure.
9. HIPAA and Protected Health Information
Where applicable, VerifyWith.ai may act as a service provider supporting healthcare organizations.
If Protected Health Information ("PHI") is processed, the parties may execute a Business Associate Agreement ("BAA") where required by law.
Covered entities remain responsible for compliance with HIPAA and applicable healthcare regulations.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFYWITH.AI SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- LOST PROFITS
- LOST REVENUE
- BUSINESS INTERRUPTION
- LOSS OF DATA
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless VerifyWith.ai, its officers, employees, and affiliates from claims arising from:
- Your use of the Services
- Violation of these Terms
- Violation of applicable laws
13. Termination
We may suspend or terminate access at any time for violations of these Terms or applicable law.
14. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
15. SMS Terms & Conditions
VerifyWith.ai SMS Messaging Program
By opting in to receive SMS messages through your healthcare provider's patient intake form, you agree to receive automated text messages from your clinic via VerifyWith.ai. These messages may include insurance verification updates, eligibility follow-ups, appointment-related notifications, secure billing or payment instructions, and other information related to your healthcare visit.
Opt-Out
You can cancel the SMS service at any time by replying STOP to any message you receive from us. After you send the SMS message "STOP," we will send you a confirmation message indicating that you have been unsubscribed. After this, you will no longer receive SMS messages from us unless you opt in again through your clinic's patient intake form.
Carrier Disclaimer
Wireless carriers are not liable for delayed or undelivered messages.
Message Frequency and Fees
Message frequency varies depending on your healthcare visit, insurance verification process, appointment activity, and billing needs. Message and data rates may apply for messages sent to you and from you. If you have questions about your text messaging or data plan, please contact your wireless provider.
